Terms of Service

1. Acceptance of Terms

By accessing or using the S4 Ledger platform ("Service"), including our website at s4ledger.com, API endpoints, SDK, Demo App, SDK Playground, and any related services, you ("User," "you") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree with these Terms, do not access or use the Service.

2. Description of Service

S4 Ledger provides an immutable logistics verification platform for the defense industry. The Service computes SHA-256 hashes of defense logistics records and anchors those hashes to the XRP Ledger (XRPL), creating tamper-proof audit trails.

Key Technical Facts

• No sensitive data on-chain: Only 64-character SHA-256 hashes are stored on the public ledger. No Controlled Unclassified Information (CUI), Personally Identifiable Information (PII), classified data, or ITAR-controlled content is written to the blockchain.
• Hash anchoring: Records are hashed client-side or via our API. The hash is anchored to an XRPL transaction memo field.
• $SLS Token: A utility token issued on the XRP Ledger used to pay per-anchor micro-fees. $SLS is not equity, a security, or an investment contract.

3. User Responsibilities

• You are solely responsible for the content of records you submit for hashing and anchoring.
• You must not submit classified, ITAR/EAR-controlled, or export-restricted data to S4 Ledger unless using an approved on-premises or GovCloud deployment with appropriate controls.
• You must comply with all applicable laws, regulations, and contractual obligations, including DFARS, ITAR, and CMMC requirements.
• You are responsible for safeguarding your API keys, account credentials, and $SLS wallet access.
• You must not use the Service for any unlawful purpose or to facilitate fraud, counterfeiting, or supply chain manipulation.

4. Subscription Tiers & Fees

S4 Ledger offers multiple subscription tiers as described on our Pricing page. In addition to subscription fees, each anchor transaction incurs a micro-fee of 0.01 $SLS paid to the S4 Ledger treasury address. Network fees on the XRP Ledger (typically 0.000012 XRP) are separate and paid to the XRPL validators.

5. $SLS Token Disclaimer

$SLS is a utility token. It is used exclusively to pay per-anchor transaction fees on the S4 Ledger platform. $SLS:

• Does not represent equity, ownership, or governance rights in S4 Ledger or any affiliated entity.
• Is not an investment contract or security under U.S. securities law.
• Has no guaranteed value and its market price may fluctuate.
• Should not be purchased with an expectation of profit derived from the efforts of others.

6. Intellectual Property

The S4 Ledger platform, including its SDK, API, website, documentation, branding, and code, is the property of S4 Ledger and is protected by applicable intellectual property laws. Users retain ownership of their original record content. By using the Service, you grant S4 Ledger no rights to your underlying data — only the hash is processed.

7. Data Handling & Security

• S4 Ledger does not store original record content on the blockchain or on our servers beyond what is needed for API processing.
• SHA-256 hashes and transaction metadata (timestamps, record types, branch identifiers) may be stored for dashboard and analytics purposes.
• We implement security controls aligned with NIST SP 800-171 and CMMC Level 2 requirements.

8. Compliance & Export Control

S4 Ledger is designed for use with non-classified defense logistics data. Users are responsible for ensuring that their use complies with:

• International Traffic in Arms Regulations (ITAR)
• Export Administration Regulations (EAR)
• DFARS 252.204-7012 (Safeguarding Covered Defense Information)
• Cybersecurity Maturity Model Certification (CMMC) requirements
• Any applicable agency-specific policies

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, S4 LEDGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

The Service is provided "as is" and "as available." We make no warranties, express or implied, regarding the Service's fitness for a particular purpose, accuracy, or uninterrupted availability.

10. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will cease. Records already anchored to the XRP Ledger are immutable and will remain on the public ledger. Prepaid subscription fees are non-refundable except as required by law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Virginia, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email or prominent notice on s4ledger.com. Continued use of the Service after changes constitutes acceptance of the revised Terms.
